These Client Referral Program Terms of Use (“Terms”) govern participation in the People Success Team’s Client Referral Program (“Program”). By submitting a referral, you agree to these Terms.

• Partner (Authorized Partner) – An individual or business referring potential clients.
• Agreement – A signed contract between People Success Team and the Partner before payment is issued.
• Services – People Success Team solutions, including Fractional HR, Consulting, Coaching, Mentoring, and Training.
• Referred Client – A business/company referred by the Partner that meets Program criteria.
• Referral Reward – A one-time financial incentive paid upon successful referral.

1. The Program is open to individuals and businesses referring qualified clients.
2. Partners must be at least 18 years old and legally eligible.
3. No self-referrals – The Partner cannot refer their own business or a company they own/control.
4. No fraudulent referrals – Submitting false, misleading, or duplicate referrals will result in immediate disqualification and legal action if necessary.
5. People Success Team reserves the right to refuse any referral, at its sole discretion, for any reason.

1. All referrals must be submitted through the official Referral Form.
2. Duplicate referrals will not be accepted – Only the first valid submission will be considered.
3. A referral must not be an active client or already in discussions with People Success Team.
4. Referrals expire after six (6) months if no contract is signed.
5. Once approved, the Partner must send an introduction email to the referral within 180 days, or the referral will expire.
6. People Success Team has sole discretion to approve or reject referrals and is not required to provide an explanation.

1. Referral Reward is based on the first paid engagement of the Referred Client.
2. Referral Reward is a one-time payment of 10% of the first agreed value for the first engagement, up to a maximum of €5,000 per referred company.
3. The first agreed value for the first engagement is calculated as follows:
   • If the agreed value is a Flat Fee, the Referral Reward is 10% of the total agreed value, up to €5,000 per referred company.
   • If the agreed value is a retainer- or subscription-based without an end date, the Referral Reward is 10% of payments for the first six (6) months, up to €5,000 per referred company.
4. Referral Reward is gross and includes. all taxes (e.g. VAT, income, social security taxes) that are legally required.
5. No future commissions – The Partner cannot claim additional payments beyond the one-time reward.
6. Payments are made only after:
   • The Referred Client signs a contract.
   • The Partner signs an Agreement confirming they accept the final payout. This Agreement does not create an employment or partnership relationship.
7. No rewards for canceled contracts – If the client cancels before payment, no referral bonus is issued.
8. Payments will be processed within 30 days of the Agreement signing via bank transfer.
9. Partners are responsible for any taxes related to their reward.
10. Disputes must be raised within 30 days of payment notification. After that, the Partner has no legal claim to additional compensation.
11. People Success Team’s decision on referral approval and payment is final and binding.

1. People Success Team reserves the right to permanently ban any Partner from future participation if they engage in:
   • Fake referrals – Submitting a nonexistent or unqualified business.
   • Manipulating the system – Trying to claim multiple payments for the same referral.
   • Misrepresenting People Success Team – Providing false information about services.
   • Forcing or pressuring a client to sign a contract.
   • Violating any local, national, or international laws regarding data privacy, contracts, or financial transactions.

🚨 Any fraudulent activity will result in immediate removal from the program, forfeiture of any pending payments, and possible legal action.

1. No Legal Claims – People Success Team is not liable for any lost commissions, missed opportunities, or program changes.
2. No Guarantees – Submission of a referral does not guarantee acceptance or payment.
3. Final Decisions – All decisions made by People Success Team regarding referral approval and payment are final, non-negotiable, and legally binding.
4. No Responsibility for Partner Taxes – Partners are solely responsible for reporting and paying any applicable taxes on their rewards.
5. Program Changes & Termination – People Success Team may modify or terminate the Program at any time without notice. Any pending referrals at the time of termination will be honored if they qualify.
6. Limited Liability – People Success Team’s total liability under this agreement shall never exceed €5,000 per referral.
7. No Partner legal action – Partners cannot take legal action against People Success Team for any reason related to this Program.
8. Indemnification – Partner shall indemnify and hold harmless People Success Team and its affiliate and subsidiary companies, officers, directors, employees, licensees, successors and assigns, including those licensed or authorized by People Success Team to transmit and distribute materials, from any and all liabilities, damages, fines, judgments, claims, costs, losses, and expenses (including reasonable legal fees and costs) arising out of or related to any and all claims sustained in connection with this Terms due to the negligence, misrepresentation, failure to disclose, or intentional misconduct of Partner.

1. People Success Team and Partners agree to comply with GDPR (EU 2016/679) and other applicable data protection laws.
2. The Partner must ensure all submitted personal data is lawfully obtained.
3. People Success Team and Partners act as independent data controllers.
4. Data will only be retained as long as necessary.
5. Personal data will be deleted or anonymized upon request in compliance with GDPR.
6. Partners must maintain strict confidentiality and not disclose confidential information without written consent.

1. Partners who violate these Terms will be permanently banned and may face legal action if necessary.
2. People Success Team reserves the right to seek financial damages if a Partner:
   • Submits fraudulent referrals.
   • Attempts to bypass payment rules.
   • Engages in deceptive marketing.
   • Violates any confidentiality, data protection, or legal agreement.

🚨 If legal action is required, the Partner is responsible for all legal fees and damages.

1. By submitting a referral, the Partner automatically accepts these Terms, forming a legally binding contract (creating a legally binding electronic signature equivalent to a handwritten signature).
